Business Overview:

The Global Markets Americas (CCFR), Legal team covers various transactional, documentation and regulatory matters relating to trading in CCFR Products, including derivatives documentation for institutional and corporate clients and FX Prime Brokerage business.

Responsibilities:

·       Provide coverage for FX Prime Brokerage (“FXPB”) Business, including participation in development of new offerings and negotiation of various FXPB Agreements, Give Up Agreements, Electronic Trading Agreements and similar documentation;

·       Review and negotiate derivatives documentation including ISDA Master Agreements (“ISDAs”) and Credit Support Annexes (“CSAs”), Global Master Repurchase Agreements (“GMRAs”), Master Repurchase Agreements (“MRAs”), Master Securities Forwards Transaction Agreements (“MSFTAs”) with various margining mechanisms for different types of clients (corporates, government agencies, banking and financial institutions etc.) for several BNPP entities (BNP Paribas, BNP Securities Corp. and BNPP Asset Management);

·       Review and analyze Credit Agreements, Security Agreements and related financing documentation to determine hedging requirements and restrictions, confirm treatment of hedging counterparties vis-à-vis other secured and unsecured creditors and reflect appropriate cross-default and termination provisions in ISDAs / CSAs;

·       Review and negotiate ancillary documents including Guarantees, Confidentiality Agreements, Account Control Agreements, Custodial Undertaking Agreements and related documentation;

·       Review and analysis of netting opinions in various jurisdictions;

·       Handle transactional work for Commodities, Credit, FX and Rates product area, including review and negotiation of various bespoke deal documentation;

·       Address various documentation-related inquiries from internal stakeholders and clients;

·       Maintain negotiation trackers and update relevant internal systems with status of negotiations;

·       Participate in applicable regulatory implementation projects that may necessitate negotiations and amendment to counterparty trading documentation.

Minimum Required Qualifications:

  • JD Degree or equivalent;
  • 2+ years of work experience (relevant law firm or in-house experience a plus);
  • Professional bar licensing in NY State or equivalent US State bar;

·       Experience in negotiating derivatives documentation highlighted above;

·       Experience with financing documentation for corporate entities, including familiarity with direct and syndicated loan agreements, security agreements, participation agreements and related documentation;

·       Familiarity with recent US and cross-border derivatives regulatory framework, including Dodd-Frank and EMIR requirements for financial institutions and corporate entities,  margining parameters for various types of trades and products, CFTC requirements and similar regulations, rules and market practices;

·       Technical: Microsoft OS (Word, Excel, Powerpoint), digitization tools.

Preferred Qualifications:

  • A self-starter personality capable of working both autonomously as well as in a cross-disciplinary team;

·       Excellent analytical, organizational, communication and drafting skills;

·       Ability to handle multiple projects simultaneously, prioritize workload and complete assignments efficiently with the sense of urgency and attention to detail in an environment with limited secretarial/admin support;

·       Ability to work across the organization as required and maintain high standards of professionalism in all dealings with team members and internal/external clients;

  • Language: fluency in Spanish is a plus.

The expected starting salary range for this position in New York (or if the location is in New Jersey we’ll indicate New Jersey) is between $150,000 to $190,000 annually. The actual salary may vary based upon several factors including, but not limited to, relevant skills/experience, time in role, base salary of internal peers, prior performance, business line, and geographic/office location.
